Terms of Service

By creating an account or using the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into contracts, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Olto Discovery is a research platform that provides AI-powered experimental protocol generation and design tools, literature management, statistical analysis guidance, team collaboration features, and related research productivity tools for scientific researchers, clinicians, and biotech professionals.

The Service is intended to assist in research planning and organization. It does not replace professional scientific judgment, peer review, institutional review board (IRB) approval, biosafety committee (IBC) review, or any other required institutional or regulatory approval process. Users are solely responsible for ensuring their research complies with all applicable laws, regulations, and institutional policies.

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@oltodiscovery.com of any unauthorized use of your account.

You agree to provide accurate and complete information when creating your account and to update it to keep it current. Accounts created with false information may be terminated without notice.

The Service is offered on a subscription basis with the following plans:

• Explorer (Free): Limited protocol generation and features. No credit card required.
• Researcher ($79/month): Individual researcher features including AI assistant and literature intelligence.
• Lab ($499/month): Team features, up to 15 seats, approval workflows, and audit logs.
• Enterprise (Custom): Unlimited usage, private deployment, SSO, and compliance options.

Subscription fees are billed monthly in advance. All payments are processed by Stripe, Inc. and are subject to Stripe's terms. Subscriptions automatically renew unless cancelled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with 30 days notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds: We offer a 7-day refund on your first subscription charge if you are unsatisfied. Contact support@oltodiscovery.com. After this period, fees are non-refundable except where required by law.

You agree to use the Service only for lawful purposes and in a manner consistent with all applicable laws and regulations. You agree NOT to:

• Use the Service to design or document experiments involving illegal activities, including unauthorized human experimentation, synthesis of controlled substances for illegal purposes, or work with select agents or pathogens without proper institutional authorization
• Generate protocols for dual-use research of concern (DURC) without appropriate institutional oversight
• Attempt to reverse engineer, extract, or replicate the AI models or proprietary algorithms underlying the Service
• Use automated scripts, bots, or scrapers to access the Service in ways that violate rate limits or burden our infrastructure
• Share your account credentials with others or allow unauthorized access to your account
• Upload files containing malware, viruses, or other harmful code
• Violate the intellectual property rights of third parties by uploading copyrighted materials without authorization
• Use the Service to harass, abuse, or harm others

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

Your content: You retain full ownership of all protocols, research data, notebooks, and other content you create using the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your User Content solely to provide the Service to you.

AI-generated content: Protocols and content generated by AI based on your inputs are considered User Content. You own this output and may use it for any purpose, including publication and commercial research.

Our intellectual property: The Service, including its software, design, features, and underlying AI systems, is owned by Olto Therapeutics, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our software without our written permission.

Feedback: If you provide feedback or suggestions about the Service, we may use this feedback without compensation or obligation to you.

The AI-generated protocols, statistical recommendations, and scientific guidance provided by the Service are intended as starting points for research planning. They are not peer-reviewed, validated, or guaranteed to be accurate, safe, or appropriate for any specific research context.

You are solely responsible for:

• Reviewing all generated protocols for scientific validity and applicability to your specific experimental system
• Obtaining all required institutional approvals (IRB, IBC, IACUC, etc.) before conducting research
• Ensuring compliance with biosafety regulations, laboratory safety standards, and institutional policies
• Verifying that statistical methods are appropriate for your specific data and research question
• Consulting qualified experts when making critical research decisions

Olto Therapeutics, Inc. is not liable for any research outcomes, safety incidents, regulatory violations, or other consequences arising from the use of AI-generated content from the Service.

We treat your research data as confidential and implement security measures described in our Privacy Policy. However, you acknowledge that no system is 100% secure and that transmission of data over the internet carries inherent risk.

For research involving highly sensitive or classified data, we recommend the Enterprise plan with private deployment options. Contact enterprise@oltodiscovery.com for information.

If you use team features (Lab or Enterprise plans), you are responsible for managing your team members' access appropriately. The organization owner is responsible for ensuring that invited members comply with these Terms. You must remove access for team members who leave your organization promptly.

Shared protocols and notebooks within your organization are accessible to all organization members with appropriate permissions. You are responsible for setting appropriate visibility settings on sensitive protocols.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OLTO THERAPEUTICS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree to defend, indemnify, and hold harmless Olto Therapeutics, Inc. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your research activities; or (d) any claim that your User Content violates third-party rights.

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Commercial Arbitration Rules, with proceedings in San Francisco, California.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS ACTION OR REPRESENTATIVE ACTION.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting the updated Terms with a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

You may terminate your account at any time from your account settings. We may terminate or suspend your account immediately, without prior notice, if you violate these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
